Festival Terms & Conditions

In furtherance of YouthCUE’s mission and vision, YouthCUE hosts Festivals available for registration (the “Festival”) by individuals and student choirs within the YouthCUE network (the “Client”). Upon opening of registration for Festival, YouthCUE will make available a defined number of slots available for participation (the “Participation Slots”).

Festival Registration
Client’s registration for a Festival constitutes its agreement to all terms herein (the “Registration”). Client may complete Registration for a Festival by filling out the online registration form provided on YouthCUE’s website or by calling YouthCUE. If Client calls YouthCUE to register, YouthCUE will complete the form on Client’s behalf and advise Client of the terms herein.

Upon Registration, Client is committing to pay for the total number of Participation Slots it registers for multiplied by the individual published Festival participation fee (the “Total Fees”).

Payment
YouthCUE incurs significant upfront venue costs when hosting a Festival. Therefore, a deposit of the Total Fees is due upon Client’s registration. Client may pay this deposit online with credit card or YouthCUE can provide Client with an e-mailed invoice. Invoices e-mailed will be marked “Due Upon Receipt”. Deposits are non-refundable, and Participation Slots are not guaranteed until YouthCUE receives Client’s deposit payment. YouthCUE reserves the right to resell Participation Slots not secured with a deposit at any time.

All remaining account balances are due 60 days prior to Festival.

Changing Participation Numbers
Client may reduce its Participation Slots by 20% up to 60 days prior to the Festival without penalty. In the event Client reduces its Participation Slots by more than 20%, YouthCUE will make all commercially-reasonable efforts to resell Client’s Participation Slots. Notwithstanding the foregoing, Client will be responsible for 100% of the Total Fees for any remaining Participation Slots released over 20% but not resold by YouthCUE.

Client may add Participation Slots at any time up until the Festival at the current published Festival participation fee, provided such Participation Slots are still available.

Indemnification & Limitation of Liability
Client agrees to indemnify and hold harmless YouthCUE, its directors, officers, agents and employees, from any and all actual or alleged claims, demands, causes of action, liability, loss, damage and/or injury (to property or persons, including without limitation wrongful death), whether brought by an individual or other entity, or imposed by a court of law or by administrative action of any federal, state, or local governmental body or agency arising out of or incident to any acts, omissions, negligence, or willful misconduct of Client, its personnel, employees, agents, contractors, or volunteers in connection with or arising out of Client’s actions. Client will promptly notify the other party of facts, claims or demands that may lead to requests for indemnification. IN NO EVENT SHALL YOUTHCUE, ITS DIRECTORS, OFFICERS, AGENTS OR EMPLOYEES BE LIABLE FOR THE PAYMENT OF ANY PUNITIVE, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR INDIRECT DAMAGES, REGARDLESS OF THE BASIS OF THE CLAIM AND WHETHER YOUTHCUE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
